Decoding Boardroom Dynamics 2.0 – National Boardroom Simulation & NCLT Trial Competition CONCEPT NOTE ON DECODING BOARDROOM DYNAMICS 2.0
Department of Law, Presidency School of Law | 21st & 22nd November 2026 | Presidency University, Bengaluru
1. Scope of the Event
Decoding Boardroom Dynamics 2.0 is a two-day experiential learning initiative designed to provide participants with practical exposure to corporate boardroom decision-making and the transition of corporate disputes into structured proceedings before the National Company Law Tribunal (NCLT). The event aims to bridge the gap between theoretical knowledge and practical application by immersing participants in simulated corporate governance and dispute resolution scenarios.
The competition will unfold in two interconnected stages. In the first stage, participants will engage in simulated boardroom deliberations, responding to complex corporate crisis scenarios in roles such as directors, independent directors, shareholders, and other relevant stakeholders. These deliberations will require participants to evaluate corporate strategy, discharge fiduciary responsibilities, address governance concerns, and make decisions in the interests of the company and its stakeholders.
In the second stage, disputes arising from the boardroom decisions will transition into structured proceedings before a simulated NCLT. Participants will analyse legal issues, prepare pleadings and other relevant documents, present oral arguments, and engage with a simulated tribunal bench. The proceedings will culminate in reasoned decisions based on the facts, applicable legal principles, and arguments presented.
Through this integrated format, the event seeks to provide a comprehensive understanding of the relationship between corporate decision-making, corporate governance, insolvency, and tribunal-based dispute resolution.
2. Relevance of the Event to the Curriculum (Subjects)
The event is directly aligned with the academic curriculum relating to Corporate Law, Company Law, Corporate Governance, and Insolvency Law. While classroom instruction in these subjects primarily focuses on statutory provisions, judicial precedents, and theoretical principles, this initiative offers participants an opportunity to apply their knowledge to practical and evolving corporate law situations.
By requiring participants to make corporate decisions in a simulated boardroom and subsequently defend or challenge those decisions before a tribunal, the competition establishes a direct connection between corporate governance and corporate litigation. It encourages participants to appreciate the legal consequences of boardroom decisions, understand the responsibilities of corporate stakeholders, and develop the ability to apply statutory provisions and judicial principles to complex factual situations.
The event will also promote interdisciplinary learning by integrating legal analysis, business strategy, ethical decision-making, negotiation, and advocacy. It will therefore serve as a valuable academic exercise for students seeking to develop practical competence in corporate and insolvency law.
