CONCEPT NOTE ON DECODING BOARDROOM DYNAMICS 2.0

1. Scope of the Event

 

Decoding Boardroom Dynamics 2.0 is a two-day experiential learning initiative focusing on corporate boardroom decision-making and the transition of corporate disputes into structured NCLT (National Company Law Tribunal) simulation proceedings. The event is designed as a simulation activity in which participants experience the corporate decision-making process from the inside, taking on roles such as directors, independent directors, shareholders, resolution professionals, and tribunal members.

 

The simulation unfolds in two connected stages. In the first stage, participants engage in internal boardroom deliberations, where they must respond to corporate crisis scenarios as members of a company’s board and stakeholder groups. In the second stage, the disputes arising from these boardroom decisions transition into structured tribunal proceedings before a simulated NCLT, where participants draft pleadings, present oral arguments, and receive reasoned decisions from the tribunal bench.

 

2. Relevance of the Event to the Curriculum (Subject)

 

The event is directly aligned with the curriculum on Corporate Law, Company Law, and Insolvency Law. Classroom instruction in these subjects necessarily emphasises statutory provisions, case law, and governance principles in the abstract; this event bridges the gap between theoretical corporate governance principles and practical litigation strategy through simulation-based learning. By requiring participants to first make boardroom decisions and then defend or challenge those decisions before a tribunal, the event connects the study of corporate governance with the practice of corporate litigation in a single continuous exercise.

4. Objective of the Event

5. Target Participants

 

The event is targeted at law students, with approximately 150 participants expected over the two-day event. External judges, including Advocates, Company Secretaries, and Insolvency Professionals, will also be invited to evaluate the simulation rounds and interact with participants, giving students direct exposure to practitioners in corporate and insolvency law.
